We reserve the right to modify, expand, or discontinue any service at our discretion without prior notice. Services are provided as described at the time of engagement and are subject to individual agreements, including service scopes, pricing, and deliverables.
III.1 Service Engagement:
- Booking a free discovery call does not constitute a contractual agreement.
- Paid strategy sessions are non-refundable unless explicitly stated otherwise.
- All services require a written proposal and agreement before work begins.
- Clients must provide accurate business information for effective service delivery.
III.2 By engaging with our services, you acknowledge that:
- Our solutions are tailored to your business needs, but outcomes may vary based on implementation and external factors. So there is No Guarantee of Results. In effect, even if we strive to provide valuable insights and automation solutions, but we do not guarantee specific business outcomes, such as revenue increase or lead conversion. Results depend on various factors outside our control.
- You are responsible for providing accurate business information to enable effective service delivery.
- Any misuse of our services, including unethical lead generation, unauthorized automation, or misuse of AI tools, may result in termination of service without a refund.
For customized solutions or inquiries, please contact us before engaging in any service to ensure alignment with your business goals.
III.3. Booking & Consultation Calls
We offer both free and paid consultation calls to assess your business needs and explore potential AI and automation solutions.
III.3.1 Free Discovery Calls
- These are 15-minute introductory calls to understand your needs and assess if we are a good fit.
- Booking a free discovery call does not create a contractual agreement for services.
- If further consultation is needed, we may recommend a paid strategy session for in-depth discussions and planning.
III.3.2 Paid Strategy Sessions
- These in-depth consulting sessions provide detailed insights and actionable strategies tailored to your business.
- Sessions must be paid in advance and are non-refundable unless canceled by us.
- Rescheduling must be done at least 24 hours in advance to avoid session forfeiture.
III.4. Payments & Billing
III.4.1 Pricing & Payment Methods
We operate on a transparent pricing model, and all service fees are communicated either on our website, during consultation calls, or within custom proposals.
Payments for our services must be made via secure online payment platforms, including but not limited to:
- Stripe (Credit/Debit Cards, Apple Pay, Google Pay, etc.)
- Direct Bank Transfer (For large custom projects, available upon request)
All payments are processed in Euro and are subject to third-party transaction fees, which are non-refundable.
By making a payment, you agree to their terms of service and security policies.
III.4.2 Payment Terms for Different Services
To ensure smooth service delivery, payments must be made under the following terms:
- Paid Strategy Sessions – Must be paid in full at the time of booking. No call will be booked nor no preparation work will be performed until the payment is received.
- Project-Based Consulting & Implementation Services –
- 50% upfront deposit required before work begins.
- The remaining 50% is due upon project completion, before final delivery.
- For projects exceeding 4 weeks, a custom milestone-based payment schedule may be arranged.
- Retainer or Ongoing Services – Payments must be made monthly in advance on an agreed-upon billing date.
- One-Time Automation Setup Fees – Full payment is required before project initiation.
Failure to pay invoices on time may result in delays, service suspension, or cancellation, with no refund on any previous payment.
III.4.3 Refund Policy
We stand by the quality of our services; however, due to the custom nature of consulting and automation solutions, refunds are limited:
III.4.3.1 Refund for Strategy sessions & consulting fees :
Strategy sessions are non-refundable once booked:
- No-shows will forfeit the session without refund.
- Non-refundable if you didn’t cancel on time,
- Non-refundable once the session has been conducted.
However, as we understand that circumstances may make you reschedule a call, we allow:
- Rescheduling is allowed up to 24 hours in advance.
- a refund ONLY if a strategy session was paid and is cancelled 7 days before the date of the session.
- If, on our side, we must cancel due to unforeseen circumstances, a full refund or reschedule will be provided.
III.4.3.2 Ongoing services or automation implementation :

We understand that circumstances may change, and you may need to cancel a project before work begins. Our refund policy in such cases is as follows:
- If a project is canceled before work begins, a partial refund may be issued at our discretion.
- Partial refunds may be granted only if no significant work has been completed at the time of cancellation.
- Completed work: No refunds will be issued once a project or consulting session has been delivered.

- If a project is canceled before work officially begins, we may offer a partial refund at our discretion. However, certain costs may still apply, as project preparation often involves research, strategy planning, resource allocation, and preliminary discussions.

- Full Refund (100%) – If the cancellation occurs within 24 hours of booking and no preparatory work has started.
- Partial Refund (Up to 50%) – If we have started strategic planning, research, or documentation but have not yet moved into full implementation. For example:

- Processing times for refunds may vary, but we aim to issue them within 5-10 business days.
- Refunds are not applicable for paid strategy sessions, digital deliverables, or completed service work.
- We reserve the right to terminate services if payments are overdue, and no refunds will be issued for lost time.
III.4.4 Chargebacks & Dispute Resolution

- Unauthorized chargebacks or payment disputes may result in immediate termination of services.
- Any chargeback attempts that violate our refund policy may be challenged with supporting documentation.

- Active contracts or retainers will not be affected by price increases until renewal.

- You acknowledge that improper implementation or deviation from our recommendations may affect results, for which we are not liable.
- We reserve the right to terminate services immediately without refund if unethical or illegal use of our solutions is detected.
III.7 Intellectual Property & Ownership Rights
- All AI workflows, automation strategies, and consulting deliverables remain the intellectual property of PowerfulCombo unless explicitly transferred in writing.
- Clients may not resell, redistribute, or modify our solutions without prior written consent.
III.7.1 Retention of Ownership Over Deliverables
PowerfulCombo (“we,” “our,” or “us”) retains full and complete ownership over all intellectual property (IP) developed, provided, or implemented as part of our services until full payment has been received from the client.
- Until full payment is received, clients do not hold any ownership, licensing, or rights to modify, distribute, or implement any deliverables, whether digital, written, or strategic, including but not limited to:
- AI automation workflows, bots, or scripts
- Custom AI models or tailored algorithms
- Social media automation templates and systems
- Lead generation outreach sequences
- Knowledge-Powered AI (RAG) implementations
- Marketing or sales automation strategies
- Any custom integrations developed as part of the service
- In cases of partial payment or non-payment, we reserve the right to:
- Revoke access to the developed solutions (including software, templates, or digital deliverables).
- Disable automation workflows, accounts, or integrations that were set up under the service agreement.
- Consider the agreement voided and reclaim any proprietary assets delivered.
- Not refund any previous payment.
III.7.2 Limited License for Use of Deliverables
Upon full payment, PowerfulCombo grants the client a non-exclusive, non-transferable, revocable license to use the delivered automation, workflows, or AI-powered solutions strictly for their business operations.
- This license does not grant clients:
- The right to resell, sublicense, or transfer any part of the deliverables to third parties.
- The ability to reverse-engineer, modify, or create derivative works based on our proprietary solutions without prior written consent.
- Ownership over any underlying AI scripts, automation frameworks, or technology stacks used in providing the service.
- For customized AI and automation solutions, the client may request an exclusive usage license (i.e., ensuring the same automation is not replicated for other businesses) at an additional licensing fee, which will be outlined in a separate contract.
III.7.3 Restrictions on Third-Party Use & Redistribution
Clients agree not to:
- Sell, transfer, distribute, or publicly share any deliverables, strategies, or frameworks provided by PowerfulCombo.
- Use our solutions for unethical, illegal, or spam-related activities, including but not limited to:
- Unsolicited email campaigns that violate GDPR, CAN-SPAM, or other compliance laws.
- Fraudulent AI automation practices or deceptive marketing tactics.
- Reselling our AI-powered tools as their own product.
Violations of these terms may result in legal action and/or revocation of all licenses without refund.
III.7.4 Ownership of Training Data, AI Models & Automation Frameworks
For AI-powered solutions involving custom training data, machine learning models, or Retrieval-Augmented Generation (RAG) solutions, ownership is structured as follows:
- If the AI model is developed using the client’s proprietary data, the client retains ownership over the raw data but not the trained AI model itself unless otherwise agreed upon in writing.
- AI automation workflows, including scripts, integrations, and connectors, remain the intellectual property of PowerfulCombo unless an explicit transfer agreement is signed.
- Clients are strictly prohibited from extracting, copying, or reselling AI workflows implemented by us without explicit authorization.
III.7.5 Ownership Rights for Open-Source & Third-Party Tools
In cases where our automation solutions integrate with open-source or third-party platforms (e.g., OpenAI, Zapier, Make, HubSpot, LinkedIn, etc.), ownership rights are subject to the licensing terms of those respective third-party providers.
- We do not claim ownership over third-party software, but we may charge service fees for custom integrations, configurations, and deployment.
- Clients are responsible for complying with the terms of use of third-party services integrated into their automation stack.
III.7.6 Retention of Branding, Case Study Rights & Portfolio Use
- We reserve the right to showcase our work (excluding confidential client data) in our portfolio, case studies, or marketing materials.
- If the client wishes to remain anonymous or restrict the use of their project for marketing purposes, they must request a written confidentiality agreement before service engagement.
- Any removal of PowerfulCombo branding, credits, or disclaimers from deliverables without prior consent is not permitted.
III.7.7 Consequences of IP Violation & Unauthorized Use
If a client violates ownership rights, improperly distributes, or resells our solutions, we reserve the right to:
- Issue a cease-and-desist order for unauthorized use.
- Terminate the client’s access to AI workflows, automation systems, or related deliverables.
- Take legal action to recover damages caused by misuse or IP theft.
By engaging with PowerfulCombo’s services, clients acknowledge and agree to these intellectual property and ownership terms.
III.8 Use of Third-Party Tools & Software Dependencies
III.8.1 Integration of External Services
To deliver AI-powered automation solutions effectively, PowerfulCombo integrates and utilizes third-party platforms and software tools including but not limited to:
- AI Language Models (LLMs): OpenAI (ChatGPT), Anthropic Claude, Google Gemini, Deepseek,etc.
- Automation Platforms: Make (formerly Integromat), n8n, etc.
- No-Code Tools: Airtable, Softr, etc.
- CRM & Marketing Automation: HubSpot, ActiveCampaign, Lemlist, LinkedIn Sales Navigator, etc.
These tools allow for the efficient implementation of automation workflows, AI-driven interactions, and digital process optimizations.
III.8.2 Client Responsibility for Third-Party Subscriptions & Credits
- Some third-party tools used in automation require paid subscriptions, API credits, or platform access.
- Clients are responsible for maintaining active subscriptions and ensuring their accounts have sufficient usage credits.
- If the client does not already have an account for a required service, we will guide them on how to set it up and subscribe to an appropriate plan.
- Automation will stop functioning if the client’s third-party tool accounts expire, run out of credits, or are suspended. And thus, we can’t be liable for bad service or service disconnection.
III.8.3 Licensing & Cost Structure
Clients can choose between the following cost models:
Option 1: Client-Managed Subscriptions (Recommended)
- The client purchases and manages their own accounts for third-party services.
- We integrate their accounts into the automation workflows.
- The client retains full control over usage, billing, and compliance with third-party terms.
This is Best for clients who want long-term control over their automation tools.
Option 2: Agency-Managed Subscriptions (Additional Fees Apply)
- We purchase and manage third-party tool access on behalf of the client.
- The client pays a consolidated fee that includes both our service charges and third-party costs.
- Access remains under our control, and the client does not directly own the subscriptions.
This is Best for clients who prefer a fully managed solution and want to avoid handling multiple subscriptions.
Important Note: Some services (e.g., OpenAI API usage) charge per request/token. If billing exceeds predefined limits, the client may be required to upgrade their plan or pay additional fees.
III.8.4 No Liability for Third-Party Service Interruptions
PowerfulCombo does not own, operate, or guarantee the availability of third-party tools.
- If a third-party service provider experiences downtime, pricing changes, feature removals, or policy updates, we are not liable for disruptions in automation functionality.
- In the event of discontinued services, we will offer alternative solutions, but any additional work required for migration may be subject to additional fees.
- Clients must ensure their use of third-party services complies with their respective terms of service, as misuse may result in account suspensions by the service provider.
III.8.5 Client Data Handling & Privacy in Third-Party Tools
- By using our services, clients acknowledge that their business data may be processed through third-party AI tools and automation platforms.
- We do not store or retain client data beyond what is necessary for integration purposes.
- Clients should review and understand the privacy policies and security measures of third-party providers before engaging in automation processes that involve sensitive data.
III.9. Ongoing Support, Maintenance & Adaptation
AI-driven automation is an evolving process, not a static project. To ensure long-term efficiency, PowerfulCombo highly recommends ongoing support and maintenance plans.
III.9.1 Initial Service vs. Ongoing Support
- Each automation build, AI model implementation, or no-code setup is delivered as a standalone project with a one-time setup fee.
- However, due to constant advancements in AI models, API changes, platform updates, and evolving business needs, automation workflows may require regular optimization, monitoring, and adjustments to remain effective.
III.9.2 Ongoing Maintenance & Optimization Plan (Highly Recommended)
To ensure continuous efficiency, adaptability, and business alignment, we offer monthly maintenance plans that include:
- Performance Monitoring: Ensure automation workflows run smoothly without interruptions.
- AI Model Updates & Fine-Tuning: Stay aligned with AI advancements to enhance accuracy.
- API & Software Updates: Address changes from third-party services to prevent disruptions.
- Workflow Adjustments: Optimize processes as business needs evolve.
- Priority Support: Get fast assistance for troubleshooting and improvements.
This is a recurring service offered separately from the initial setup. Clients are strongly encouraged to subscribe to ensure long-term automation success.
III.9.3 What Happens Without Ongoing Maintenance?
Clients who do not opt for ongoing maintenance acknowledge that:
- AI models, automation workflows, and integrations may become outdated or ineffective over time.
- If a third-party API, AI model, or automation platform changes its policies, pricing, or functionality, the system may stop working without adjustments.
- Any future modifications or fixes will be subject to additional fees based on standard hourly consulting rates.
- Emergency fixes for broken automations (without a maintenance plan) may be subject to extended response times and higher costs.
III.9.4 Subscription & Cancellation Policy for Maintenance Plans
- The maintenance plan is billed monthly or annually (with a discount for annual commitments).
- Clients can cancel at any time, but once canceled, support and optimizations will no longer be provided unless a new agreement is made.
- Fees are non-refundable for months already billed, as maintenance is a proactive service.
III.10. Disclaimers & Limitations of Liability
At PowerfulCombo, we strive to provide high-quality AI, automation, and no-code solutions to enhance your business operations. However, due to the inherent complexities, evolving nature of technology, and reliance on third-party platforms, we cannot guarantee specific results. By engaging with our services, you acknowledge and accept the following disclaimers and limitations of liability:
III.10.1 No Guarantee of Specific Outcomes
While we aim to optimize your business processes and improve efficiency, we do not guarantee specific financial results, customer acquisition rates, lead conversion rates, revenue growth, or any other business performance metrics.
- The success of AI automation solutions depends on multiple factors, including your business model, market conditions, implementation strategy, and how actively you leverage the solutions provided.
- AI-based workflows and automation tools enhance processes but do not replace business strategy, human oversight, or external market dynamics.
- Any projections, forecasts, or case studies shared are for illustrative purposes only and do not represent guaranteed outcomes.
III.10.2 Limitation of Liability
To the maximum extent permitted by law, PowerfulCombo, its owner, affiliates, and partners shall not be liable for:
- Indirect, incidental, or consequential damages arising from the use or inability to use our services, including but not limited to business losses, missed opportunities, revenue decline, data loss, or reputational damage.
- Service disruptions caused by third-party changes (e.g., API modifications, pricing updates, discontinuation of external tools).
- Misuse or improper implementation of automation solutions by the client, including but not limited to compliance violations, unauthorized usage, or failure to follow provided recommendations.
- Legal, regulatory, or compliance risks that arise from using AI-generated content, automated outreach, or data processing workflows. Clients must ensure their use of AI tools complies with GDPR, CCPA, CAN-SPAM, and other applicable laws in their industry and region.
- Delays in service delivery due to unforeseen circumstances, including but not limited to changes in client requirements, lack of necessary data or input, or force majeure events.
Maximum Liability Cap:
In all cases, our maximum liability shall be strictly limited to the total amount paid for the specific service in question. We shall not be responsible for any financial losses beyond the fees paid for our engagement.
III.10.3 Third-Party Platforms & Software Dependencies
Our solutions rely on third-party platforms, including but not limited to:
- AI APIs (e.g., OpenAI, Google AI, Claude AI)
- Automation tools (e.g., Zapier, Make, n8n, CRM integrations),
- No-code/Low code tools: Airtable, Softr, etc
- Social media platforms (e.g., LinkedIn, Instagram, X, TikTok)
- Payment gateways (e.g., Stripe, PayPal)
Since these platforms operate independently and may update their policies, pricing, or functionalities without notice:
- We cannot be held liable for disruptions, price increases, feature removals, or access restrictions implemented by these third-party services.
- Clients acknowledge that some automation workflows may stop functioning or require adjustments due to external changes beyond our control.
- We strongly recommend subscribing to an ongoing maintenance plan to mitigate risks associated with API updates, software changes, or service discontinuations.
III.10.4 AI & Automation Ethical Use Disclaimer
AI-generated content, automated lead generation, AI-based decision-making or any other AI nocode powered solutions that we may offer must be used ethically and responsibly. Clients assume full responsibility for ensuring that AI-driven processes:
- Comply with all applicable legal & ethical standards
- Do not violate anti-spam, privacy, or consumer protection laws
- Are reviewed for accuracy before deployment in customer-facing operations
PowerfulCombo will not be responsible for any legal claims, regulatory fines, or reputational damage resulting from misuse of AI automation.
III.10.5 Acknowledgment of Risk & Agreement to Terms
By engaging with PowerfulCombo’s services, you acknowledge that:
- You understand and accept the inherent risks of using AI and automation tools, including potential inaccuracies, unintended outputs, or third-party changes.
- You take full responsibility for how AI-driven workflows are used within your business.
- You release PowerfulCombo from liability beyond the fees paid for services rendered.
III.11. Governing Law & Dispute Resolution
III.11.1 Compliance with Regional & International Regulations
These Terms & Conditions are governed by and shall be interpreted in accordance with the laws of France, where “ELITE BUSINESS QUEENS” the company that own PowerfulCombo is legally registered.
For clients based in the European Union (EU), we adhere to applicable EU regulations, including GDPR (General Data Protection Regulation). For clients in the United States, we comply with relevant data privacy and business regulations, such as the California Consumer Privacy Act (CCPA) where applicable.
III.11.2 Dispute Resolution Process
We believe in resolving disputes amicably whenever possible. If any issue arises regarding our services, we encourage you to first reach out to us to discuss and attempt a resolution through informal means.
If a dispute remains unresolved after informal negotiation, the following process applies:
- Mediation First: Both parties agree to attempt resolution through mediation, where a neutral third party assists in reaching a settlement. Mediation shall take place remotely or in a mutually agreed jurisdiction.
- Formal Legal Action (if necessary): If mediation fails, disputes shall be resolved through binding arbitration or small claims court, depending on the nature of the issue.
- The governing jurisdiction for legal proceedings will be the Commercial Court of Versailles, France, unless otherwise agreed.
- Each party shall bear its own legal costs, except where legal fees may be recoverable under applicable law.
By agreeing to these Terms, you waive any right to participate in class action lawsuits against PowerfulCombo.

III.12.1 Termination by Either Party
Either party may terminate the contract by providing 30 days’ written notice via email or registered mail. Upon termination, the client agrees to pay for:
- All services rendered up to the termination date, including any partially completed work.
- Any non-refundable costs incurred by PowerfulCombo in preparation for the project.
If the termination occurs before the completion of a project, any work already completed (including research, planning, automation setup, AI training, or integrations) will be billed at the applicable rate. No refunds will be provided for work already performed.
III.12.2 Immediate Termination by PowerfulCombo
We reserve the right to terminate a contract immediately and without prior notice under the following circumstances:
- Breach of Contract – If the client fails to comply with any material term of these Terms & Conditions, including but not limited to non-payment, misuse of automation tools, or unethical business practices.
- Non-Cooperation – If the client fails to provide necessary information, access to accounts, or approvals required for service execution after multiple requests, resulting in project delays.
- Unethical or Illegal Use – If the client misuses AI automation, lead generation tools, or other services for fraudulent, deceptive, spam-related, or unlawful activities.
- Failure to Pay – If the client fails to make a scheduled payment within 7 days after the due date, services may be suspended, and the contract may be terminated.
- Damage to Reputation – If the client engages in defamatory actions, misrepresents our services, or behaves in a way that negatively impacts the reputation of PowerfulCombo.
III.12.3 Consequences of Termination
Upon termination:
- All work stops immediately, and any active automations, AI models, or integrations may be disabled or deleted.
- Intellectual property ownership (e.g., AI models, automation scripts, custom-built solutions) remains with PowerfulCombo until full payment is received.
- The client may not continue using any partially completed work or proprietary solutions without explicit written permission.
- If termination is due to non-payment, PowerfulCombo reserves the right to pursue legal action or debt collection.
For any custom agreements or long-term engagements, specific termination clauses may be negotiated in the service contract.

We may modify, update, or revise these Terms & Conditions from time to time to reflect:
- Changes in laws & regulations (e.g., GDPR, CCPA updates, AI compliance requirements)
- New service offerings, pricing models, or operational adjustments
- Security, privacy, or compliance updates
All updates will be posted on this page with a “Last Updated” date.
Your continued use of our services after any modifications constitutes acceptance of the updated Terms. If you do not agree with any changes, you may discontinue using our services.
